1. Agreement to Terms

By accessing and using Shedd ("Platform," "Service," "we," "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this Platform.

2. Eligibility

You must be at least 18 years old to use our Platform. By using Shedd, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.1 One Account Per User

You may maintain only one Shedd account. Creating multiple accounts to circumvent our policies — including, but not limited to, shipping orders from multiple accounts to the same address in an attempt to evade payment obligations, shipping caps, bidding restrictions, or other platform rules — is strictly prohibited.

Users found operating multiple accounts for the purpose of circumventing our policies risk immediate suspension, account restrictions, or permanent banning from the Platform at Shedd's sole discretion.

4. Auction Rules

4.1 Bidding

• All bids are binding commitments to purchase
• Bids cannot be retracted once placed
• You are responsible for ensuring bid amounts are correct
• We reserve the right to cancel fraudulent or suspicious bids
• Maximum bid amounts are automatically managed by our system

4.2 Selling

• Sellers must provide accurate descriptions and photos of items
• Items must be shipped within the specified timeframe after auction ends
• Sellers are responsible for proper packaging and shipping
• Misrepresentation of items may result in account suspension
• We handle payment processing and release funds after successful delivery

4.3 Auction Closure

Auctions close at the specified end time. If a bid is placed in the final minutes, the auction may be extended to allow for competitive bidding. The highest bidder at the time of closure wins the auction.

5. Fees and Payments

Our fee structure includes:

• Seller Fees: We charge a commission on successful sales
• Payment Processing: Standard payment processing fees apply
• Shipping: Sellers may include shipping costs or offer free shipping
• Payment Timeline: Sellers receive payment within 24 hours of confirmed delivery

5.1 Payment Failures and Enforcement

Winning bidders are obligated to complete payment for all won auctions. If a payment fails:

• You will be prompted to update your payment method and retry the charge
• If you fail payment twice on won orders without correcting your payment information, we reserve the right to cancel those orders
• Repeated or deliberate payment failures may result in temporary bidding suspension, account restrictions, or permanent banning from the Platform at Shedd's sole discretion
• We reserve the right to pursue collection of unpaid amounts through appropriate channels

6. Prohibited Items and Conduct

You may not use our Platform to:

• List illegal items or items that violate intellectual property rights
• Engage in fraudulent or deceptive practices
• Manipulate bidding or auction outcomes (shill bidding)
• Harass, threaten, or abuse other users
• Interfere with the Platform's operation or security
• Use automated systems to access the Platform without permission
• List counterfeit, stolen, or prohibited items
• Create or operate multiple accounts to circumvent Platform policies, including shipping multiple accounts to the same address to evade payment obligations, shipping caps, or other rules

7. Shedd Guarantee

We offer buyer protection for eligible purchases. If an item is significantly not as described or doesn't arrive, buyers may be eligible for a refund. See our Shedd Guarantee page for full details and conditions.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by Shedd and are protected by international copyright, trademark, and other intellectual property laws.

By uploading content to our Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating the Platform.

9. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• The accuracy or quality of items listed by sellers
• Uninterrupted or error-free operation of the Platform
• That defects will be corrected
• The Platform is free of viruses or harmful components

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

10. Indemnification

You agree to indemnify and hold Shedd harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

We encourage users to resolve disputes directly with each other first. If a resolution cannot be reached:

• Contact our customer support team for assistance
• Any disputes shall be resolved through binding arbitration
• You waive your right to participate in class action lawsuits
• Disputes shall be governed by the laws of [Your Jurisdiction]

12. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason we deem appropriate. Upon termination, your right to use the Platform will immediately cease.

13. SMS/Text Messaging Terms

During registration, you will be presented with two separate, unchecked opt-in checkboxes for SMS messaging. Each consent is independent:

A. Delivery & Auction Notifications

By checking this box, you consent to receive recurring automated SMS/text messages including:

• Auction notifications: outbid alerts, won/lost auctions, ending-soon reminders
• Delivery updates: shipping confirmations, tracking status, delivery notifications

B. Two-Factor Authentication (2FA) & Account Security

By checking this box, you consent to receive SMS messages including:

• One-time passcodes for verifying your identity during sign-in
• Account security alerts and recovery codes

C. General Terms (both categories)

• Each consent is independent—opting in to one category does not opt you in to the other
• Consent to receive SMS is not a condition of purchasing any goods or services
• Message & data rates may apply depending on your mobile carrier
• Notification frequency varies based on your activity; 2FA messages are sent only when performing security-sensitive actions
• You can opt out at any time by replying STOP to any message
• Reply HELP for assistance or contact support@shedd.app
• We do not share your phone number or SMS consent with third parties for marketing purposes

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the Platform or sending an email. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

15. Certified Assistants Program

Our Certified Assistants program connects sellers with trained professionals who can help photograph, list, and manage auction items. Assistants must comply with our program requirements and maintain professional standards.
